This Ambassador Program is operated by Henrie Sleep Inc.. Throughout the program, the terms “we”, “us” and “our” refer to Henrie Sleep Inc.. Henrie Sleep Inc. offers this program, including all information, tools and services available from this program to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.

By visiting our site and/ or purchasing something from us, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all applicants and participants of the Ambassador Program. 

Our store is hosted on Shopify Inc. They provide us with the online e-commerce platform that allows us to sell our products and services to you.

Our Ambassador Program is hosted on Dovetale Inc.. They provide us with the ambassador program platform that allows us to track your performance and facilitate payments.

"Creator" means an individual who controls and operates a Social Media Account and who uses these Accounts to promote Henrie products and services.

"Social Media Account" means a registered account with a social media, social network or content sharing platform, including but not limited to Facebook, Twitter, Instagram, Snap, YouTube, and/or Pinterest.

“Ambassador” means a Creator who has been formally accepted into Henrie’s ambassador program. 

SECTION 1 - PROGRAM ADMITTANCE 

Admission to the ambassador program is at the sole discretion of the company. Henrie reserves the right to reject or terminate any program application, in Henrie’s sole discretion. Henrie accepts no liability for any rejected applications. 

SECTION 2 - ONLINE ADVERTISING
This program is intended for online content creators operating a Social Media Account. Creators agree not to register, own, or use a domain name using the keyword “Henrie”. Creators shall not bid on the company’s branded keywords or promote the company using paid advertising channels such as pay-per-click campaigns. 

SECTION 3 - BRAND GUIDELINES

Creators agree to adhere to the company’s brand guidelines where necessary, as provided by the company, in any public-facing content. 

SECTION 4 - DISCLOSURE

Ambassadors agree not to refer to themselves as employees of Henrie, but rather ambassadors or partners. 

SECTION 5 - PROFESSIONAL CONDUCT

Henrie operates with the strictest codes of professional conduct. Any Ambassador who promotes any form of slander, racism, or unfair business practices, or who violates Henrie’s Terms of Service and agreements incorporated therein, has committed a material breach of this Agreement and their Ambassador status will be terminated immediately.

SECTION 6 - DISCOUNT CODES & AFFILIATE LINK USAGE

Any coupon codes issued to Ambassadors are for the sole purpose of promoting Henrie to their audience. Abuse of discount codes or links could result in termination from the program.

SECTION 7 - TERMINATION

Henrie reserves the right to remove ambassadors from the program at any time, at their discretion. Should the Ambassador violate the terms of this Agreement, or commit a material breach (as determined by Henrie, in their sole discretion), Henrie reserves the right to terminate this Agreement.

SECTION 8 - PROGRAM MODIFICATIONS

Henrie has the right to modify or terminate the Program at any time for any reason without liability to any Ambassador. You agree that if Henrie does not exercise or enforce a right or remedy contained in this Agreement or under applicable law, this is not a waiver of Henrie’s rights. Those rights or remedies will still be available to Henrie should we choose to exercise them.

SECTION 9 - COMMISSION

Ambassador commission rates are available within the Dovetale platform. To qualify, referring sales must be made within 30 (thirty) days of using an Ambassador’s unique coupon code or link. Referring sales are tracked by the Dovetale Henrie reserves the right to modify commission rates at any time for any reason, without liability to any Ambassador. 

SECTION 10 - PAYMENT

Payments are issued on the first weekday of each month, for commission earned in the previous month. Henrie is not responsible for late payments caused by failure of the Ambassador to share their payment information with Henrie or the Dovetale platform. 

SECTION 11 - CONFIDENTIALITY

Ambassadors have access to confidential information regarding Henrie and its products or services. Ambassadors agree to not disclose any confidential information with third parties.
